Edinburgh-headquartered Quorum Cyber has signed a definitive agreement to acquire cybersecurity provider Ontinue, in a deal intended to expand its international reach and AI-powered security services.

The agreement, announced on 16 September, would bring together two businesses focused on Microsoft security technology. Their services span threat detection, incident response, risk reduction and security operations.

Financial terms have not been disclosed. Completion remains subject to customary closing conditions and any required approvals, with both companies continuing to operate independently until then.

Quorum Cyber said the combined business would expand its international reach, including across the UK and North America. It expects the combination to support customers operating across borders and facing different regulatory and data-governance requirements.

Ontinue provides managed extended detection and response services through its AI-powered security operations centre. The proposed combination would bring those capabilities together with Quorum Cyber’s services, covering secure AI adoption, round-the-clock threat detection, incident response and recovery.

“AI has changed the speed, scale and economics of cyber defense. The future is not security teams managing more tools; it is experienced defenders directing AI-powered systems that can work continuously and act at machine speed, with humans firmly in control,” said Kevin Hanes, chief executive of Quorum Cyber.

The company said its planned approach would use AI systems to assess risks and respond to threats while retaining human oversight of strategy and critical decisions.

Eterna Growth Partners, Quorum Cyber’s current majority investor, would be the majority investor in the combined company.

The announcement did not disclose a completion date.
